THE CONTRIBUTION AGREEMENT v1.7


We are grateful for your interest in Vermillion events. Please note your participation in our Web Services and Activities are subject to the terms and conditions of use at VermillionCalgary.org.

Additional terms and conditions apply to contribution agreements. These are the elements that you, as a contributor, agree to:

Vermillion is a social enterprise not a charity, so when you contribute to our Web Services and Activities, you are subscribing to these services, not making a donation; Vermillion then invoices you (with applicable taxes).

For making our programs possible, Vermillion’s policy is generally to provide visible, personalized and enthusiastic thanks to a range of supporters. To do that, you grant Vermillion a non-exclusive license to display your trademarks in association with any such content, including in promotional materials such as e-vites, news releases and video trailers. In fact, in all cases where you would not reasonably assign your own intellectual property (such as a graph or chart) that will be seen or heard in this process, you hereby grant Vermillion a fully paid-up license to record, edit, perform and sub-license such works across the universe and forever.

Vermillion Calgary has a key role in role in the Vermillion movement, so the best Calgary leadership stories will be eligible for free-of-charge promotion at national and international levels, at Vermillion’s sole discretion. To that end, our Activities may be recorded for wide distribution; unauthorized recording is prohibited. Because our Activities are recorded for archival, skills training and documentary purposes, you hereby agree to obtain and provide the necessary recording permissions and media releases for you, your staff and guests for all such recordings. In the context of your adult staff and guests, one of the easiest ways for you to fulfill this is to make sure they each register through our website.

By now it should be clear that we want you, the community and its business leaders to gain significant tangible benefits from this Activity so that others will have more reasons to strive for better operations and / or to support more of our Activities. And it makes sense that for future ‘innovators’ to enjoy the same benefits, Vermillion will take reasonable steps in its sole discretion to build and sustain public confidence in its community services. For instance, Vermillion may choose not to associate with a supporter if questions exist about its track record with full-spectrum sustainability. So as VermillionCalgary.org indicates, there is no formal affiliation between Vermillion and contributors without Vermillion Approval. This means recognition generally goes only to official supporters that have agreed to receive it. Recognition and publicity rights (which may include one or more licenses to associate yourself with our trademarks) are generally granted during the year of your support and for up to one year after. They may persist longer than that with Vermillion Approval. You agree not embellish or publicize your work with Vermillion beyond the publicity rights granted by Vermillion Approval from time to time. This is a two-way street: Vermillion agrees not to publish or distribute your personal information beyond related operating groups without consent.

We have expressed many of our service and recognition policies here but this is not exhaustive. We reserve the right to decide and direct how to deliver them, and to make changes to our policies from time to time and at any time. For instance, if a supporter is not paying service fees on time, we may impose late fees. Or we may announce new support categories such as Media Allies and Official Suppliers. Vermillion wants to sustain healthy, ongoing relationships with supporters. So in cases where the changes could have a negative effect, Vermillion may compensate or refund contributors in Vermillion’s sole discretion.

Time is the essence of this agreement. You acknowledge that Vermillion will be exposed to unplanned costs if you back out of this agreement or unreasonably delay it. And you acknowledge that other stakeholders, including supporters and guests, could be disadvantaged if you change it, so it's crucial that you fully perform your responsibilities under this agreement.

Other written agreements can co-exist with this one, but with respect to the contemplated contribution agreement, this is the entire agreement between you and us. Vermillion recognizes that contributors may want to suggest ways to add further value in various settings and content, and we invite contributors to do so. So to promote both structure and flexibility as needed, the parties agree that changes can be made to these terms and conditions with Vermillion Approval, but not otherwise.
